“Intuitus’ experience in carve-out transactions particularly helped all parties understand the significance of addressing certain IT issues during the transaction process. Intuitus also provided a valuable perspective on the IT implications of some of the legal documentation.”

Case Study Lyceum Capital takes Carewatch Care Services private

Print

Date: Oct 2008 Sector: Healthcare

Intuitus has supported Lyceum Capital’s acquisition of Carewatch Care Services (‘Carewatch’) from Nestor Healthcare Group plc (‘Nestor’), taking the division out of public ownership. Carewatch is the leading independent provider of home-based social care services in the UK, through its own branches and in partnership with franchisees. With new investment in the Carewatch brand and in the expansion of the company’s range of services to local authorities, primary care trusts and to individual clients, Lyceum will develop Carewatch as an independent company.

As part of the IT Due Diligence process Intuitus assessed for Lyceum Capital whether there were any IT risks or issues with Carewatch’s existing IT operations. This encompassed the IT operations at Carewatch’s own Head Office and branches, and those IT services that Carewatch delivered to its franchisees via a supply and support agreement. Key areas of interest, in addition to the resilience and scalability of core systems and networks, included IT asset management and the effectiveness of management reporting in such a geographically disparate operating environment. We also reviewed IT governance procedures, data management and security practices and the currency of disaster recovery plans.

With regards to the separation from Nestor, we assessed the extent to which the necessary IT transition-related specifications, plans, agreements and cost models existed, were sufficiently comprehensive, realistic and achievable, and had been agreed as appropriate by both Nestor and Carewatch.
